By accessing or using StoodIt ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

StoodIt is a collaborative music feedback platform that enables producers and artists to share audio projects, provide timestamped feedback, manage invoices, and communicate with each other. The Platform is available as a subscription service for producers and free for artists.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must be at least 13 years of age to use the Platform.

4. User Content

You retain ownership of all audio files, feedback, and other content you upload to the Platform ("User Content"). By uploading content, you grant StoodIt a limited, non-exclusive licence to store and display your content solely to provide the Platform's services.

You represent and warrant that:

• You own or have the rights to upload all content you submit
• Your content does not infringe any third-party intellectual property rights
• Your content does not violate any applicable laws

5. Prohibited Conduct

You agree not to:

• Upload content you do not have rights to share
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Platform or other accounts
• Use the Platform for any unlawful purpose
• Reverse-engineer or attempt to extract the Platform's source code
• Resell or sublicense access to the Platform

6. Subscription and Payments

Producer Pro subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time; access continues until the end of the current billing period.
• We reserve the right to change subscription pricing with reasonable notice.

7. Invoicing Features

The invoicing tools within StoodIt are provided as a convenience feature. StoodIt is not a financial institution and is not responsible for disputes between producers and artists regarding payments. Users are responsible for their own tax obligations.

8. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind, express or implied. We do not guarantee the Platform will be uninterrupted, error-free, or completely secure. Use of the Platform is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, StoodIt shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including loss of data, loss of revenue, or loss of business opportunities.

10. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. You may also delete your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or in-app notification.
